1. Project Time Frame
The content creation will begin upon the execution of the contract. The agreement to the terms and the receipt of the initial payment are required prior to project start.
The project time frame is an estimate based on timely feedback. Delays in feedback will extend the project timeline by the same number of days as the delay.
2. Length of Proposal Validity
This proposal, including the total project quote, is valid for 14 days from the date it is sent. If accepted, the proposal remains valid until the completion of the project.
3. Feedback and Approval
Certain phases of the project require your feedback and approval. Feedback is defined as a written or oral response to questions needed to move forward. During the approval phase, you will have a specified number of rounds of feedback, as defined in the scope of work (SOW). Any unaddressed items will be considered approved. Extra rounds of feedback will result in adjustments to the project time frame and cost, as per our schedule and availability.
A feedback delay is defined as failure to provide a written response within 3 business days. Delays will extend the project time frame by the same number of days as the delay. If the delay exceeds 5 business days, it may result in a redefinition of the project timeline and price.
Any modification request to an already approved phase will alter the project time frame and cost.
4. Default
We will be considered in default if we fail to deliver the agreed-upon deliverables within the project time frame. You will be in default if you fail to provide feedback within the specified time or fail to pay according to the payment schedule.
Either party may terminate this agreement if the other is in default and has not corrected the issue within 30 days of written notice.
In the event of our default, you will be refunded for any undelivered services. In the event of your default, we reserve the right to retain all paid amounts, but you will receive all completed deliverables.
5. Confidential Information
All information shared with us for the purpose of providing services is confidential and must be protected from disclosure to any third parties. Any unauthorized disclosure by us will be considered a material breach of this agreement.
“Confidential Information” includes any documents, methods, software, designs, or other proprietary information related to your business or the services we provide.
6. Non-Defaulting Termination
If the agreement is terminated for reasons unrelated to default, ownership of all intellectual property created will remain with us until all outstanding payments are received. Upon full payment, ownership will be transferred to you.
Intellectual property includes designs, software, artwork, coding, and other work created during the course of this project.
7. Contract Modifications
Any modifications to this contract must be made in writing and agreed upon by both parties.
8. File Modifications
We will not work with client-modified versions of the work we produce.
9. Cookie Policy and GDPR
We comply with basic GDPR requirements for your website. If more detailed legal work is needed, please consult a lawyer.
